License Agreement

React Bits Pro

This License Agreement ("Agreement") is a legal contract between React Bits Pro ("Licensor") and the purchaser or user ("Licensee"). By purchasing, accessing, downloading, or using React Bits Pro or any related files made available through pro.reactbits.dev (collectively, the "Product"), you agree to be bound by this Agreement.

This Agreement applies to every part of the Product, including parts added after the date you purchased. Section 1 defines what the Product includes.

1. Definitions

"Product" means the whole of React Bits Pro as made available through pro.reactbits.dev, in any form and by any delivery method, including:

  • Components: the animated React components, in both their Tailwind CSS and vanilla CSS variants.
  • Blocks: the marketing and page-section blocks.
  • App UI blocks: the application-interface blocks, including app shells, navigation, data tables, dashboards, dialogs, settings surfaces, and AI and agent interfaces.
  • Templates: the downloadable full project templates.
  • Agent Kit: the design skills, prompts, and Prompt-to-Page recipes, together with any accompanying plan or metadata files. Agent Kit material is written content and instructions rather than executable code, and is licensed on the same terms as the rest of the Product except where this Agreement says otherwise.
  • Landing Builder: the hosted page composition tool at pro.reactbits.dev and the project files it generates.
  • Registries and tooling: the license-authenticated registry endpoints, the React Bits Pro agent integration skill, installation tooling, and the documentation, code samples, previews, and preview assets published on pro.reactbits.dev.

"Output" means the pages, applications, and source code that Licensee produces using the Product, including files exported from the Landing Builder and code written by an AI agent that Licensee has directed while using the Agent Kit.

"Plan" means the tier purchased by Licensee (Starter, Pro, or Ultimate) and the billing model chosen (a one-time lifetime purchase or an annual subscription). The parts of the Product a Licensee may access are determined by their Plan, as described on pro.reactbits.dev at the time of purchase.

2. License Grant

2.1 Single Developer License

Subject to full payment and compliance with this Agreement, Licensor grants Licensee a personal, non-exclusive, non-transferable license to use the Product. Each purchase grants usage rights to one individual developer.

If multiple developers within a company, team, or organization need to use the Product, additional licenses are required or a separate team or volume agreement must be arranged by contacting Licensor.

2.2 Permitted Use

Subject to the Seat rule above, the licensed developer may:

  • Use the Product to build landing pages, websites, applications, or other digital products for personal projects or for an unlimited number of clients and commercial projects.
  • Install the Product into an unlimited number of their own or their clients' codebases, through the registry or by any other method Licensor provides.
  • Modify, adapt, or extend the Product to fit their own projects or client work.
  • Use the Agent Kit as context or instructions for an AI coding agent, editor, or other tooling of their choice, while working on projects covered by this Agreement. This is an intended use of the Agent Kit.
  • Continue to use any version of the Product downloaded while their license was active, including in projects already delivered, even if they later stop paying for updates.

Delivering Output to a client is permitted and does not require the client to hold their own license. Giving a client or any other party access to the Product itself, separately from a project built with it, is not permitted and is governed by Section 2.4.

2.3 Ownership of Output

Output belongs to Licensee. Licensor claims no ownership of, and asserts no license over, the pages, applications, and projects Licensee builds using the Product. No attribution, royalty, or revenue share is required for Output.

This Agreement governs the Product itself, not what Licensee builds with it. Output that reproduces the Product substantially unchanged, and in a way that makes the Product itself the thing being delivered rather than a project built with it, remains subject to Section 2.4.

2.4 Prohibited Use

Licensee may not:

  • Distribute, resell, share, sublicense, rent, lease, publish, or otherwise make the Product or any substantial part of it available to any third party, whether in original, modified, or partial form, including as part of open source repositories, public gists, pastebins, file-sharing services, starter kits, or boilerplates.
  • Post the Product, or any substantial part of it, in a public or shared forum, chat server, or community, or publish a video or article that displays its full source or full text.
  • Claim authorship or ownership of the Product, even if it has been modified or combined with other work.
  • Use the Product to create, sell, or distribute products or services that compete with Licensor, including template packs, UI kits, component libraries, block libraries, prompt packs, skill or agent-skill libraries, agent marketplace listings, courses, or software-as-a-service offerings derived from or substantially based on the Product.
  • Serve the Product from their own endpoint, mirror it, or proxy, wrap, or re-expose the React Bits Pro registry so that parties without their own license can obtain it.
  • Share, publish, or resell their license key, registry credentials, or account access, or use them on behalf of anyone other than the licensed developer.
  • Remove, obscure, or alter any copyright notice, license file, version or attribution metadata included with the Product.
  • Circumvent, disable, or attempt to defeat any licensing, authentication, rate limiting, or access control mechanism protecting the Product.

2.5 Artificial Intelligence and Machine Learning

Licensee may use the Product with AI coding agents, assistants, and editors while working on their own or their clients' projects. This applies to the whole Product, not only the Agent Kit, and is an intended use.

Licensee may not:

  • Use the Product as training data, or submit it to any third party for the purpose of training, fine-tuning, distilling, or evaluating a machine learning model whose weights, outputs, or derived artifacts are made available to others.
  • Include the Product in any dataset, corpus, index, or retrieval system that is published, sold, or otherwise made accessible to parties without their own license.
  • Publish, host, or expose the Product so that AI agents belonging to unlicensed third parties can retrieve it. This is treated as redistribution under Section 2.4.

Nothing in this section restricts Licensee's use of Output, or of models and tools that Licensee runs privately against their own codebase.

2.6 Enforcement of Violations

If Licensor reasonably believes that Licensee has engaged in unauthorized redistribution, sharing, unauthorized access to protected content, extraction of source code through browser developer tools or other technical means, or any other prohibited use, Licensor may:

  • Submit copyright or DMCA-style takedown notices to hosting providers and platforms to remove infringing content.
  • Pursue any remedies available under applicable law, including injunctive relief and claims for damages.

While public demos and previews may be displayed on pro.reactbits.dev for marketing purposes, this does not grant any license to use, copy, extract, or replicate the underlying source code, components, or implementation details. The same applies to any summary, outline, excerpt, or teaser of Agent Kit content shown to visitors who do not hold the required Plan. Unauthorized attempts to access, extract, reverse engineer, deobfuscate, or steal code through browser developer tools, network inspection, automated scraping, or any other technical means without a valid paid license will be considered a material violation of this Agreement and may constitute copyright infringement under applicable law.

2.7 License Keys, Registry Access, and Usage Monitoring

Access to the Product is granted through a license key issued to Licensee. The license key identifies the Licensee and is personal to them. Licensee is responsible for keeping it confidential and for all activity carried out with it, including activity by AI agents or automated tooling acting on Licensee's behalf.

Licensor records requests made to the registry, including the license key used, the associated email address, the resource requested, the time of the request, the IP address, the user agent, and the approximate location derived from the IP address. This record is kept to verify entitlement, to operate and support the Product, and to detect license key sharing and other unauthorized access. Licensor's handling of this information is described in the Privacy Policy.

Licensor may apply reasonable rate limits, and may suspend or revoke a license key where it reasonably believes the key is being shared, resold, or otherwise used in breach of this Agreement. Where practical and appropriate, Licensor will contact Licensee before revoking access.

2.8 Transfer and Reassignment Requests

The license is personal to the purchasing developer and is not freely assignable or transferable to another person or entity without Licensor's consent.

If Licensee needs to change the contact email for the license or request a reassignment, they must contact Licensor at pro@reactbits.dev. Licensor will make reasonable efforts to assist with such requests.

3. Supplemental and Bundled License Files

Some parts of the Product are delivered with their own license file. In particular, Agent Kit items are installed together with a file named LICENSE.md (the "Agent Kit License"), which restates the terms that apply to that content in the place where Licensee will actually read it.

Any such bundled license file is supplemental to this Agreement and is to be read together with it. This Agreement is the governing document. Where a bundled license file and this Agreement address the same subject and cannot be read consistently, this Agreement controls, except that any additional restriction stated in a bundled license file applies in addition to the restrictions in this Agreement.

No bundled license file grants rights beyond those granted here. In particular, the number of developers permitted to use the Product is governed by Section 2.1 in all cases.

4. Ownership

All intellectual property rights in and to the Product are owned by Licensor. The Product is licensed, not sold. This Agreement grants Licensee only the rights expressly stated in it. All other rights are reserved by Licensor.

5. Third-Party Materials

5.1 Open Source Dependencies

The Product is built on, and expects Licensee to install, third-party open source packages such as React, Next.js, Tailwind CSS, Motion, GSAP, Three.js, and lucide. Those packages are not part of the Product, are not licensed by Licensor, and remain subject to their own licenses. Licensee is responsible for complying with them.

5.2 Placeholder and Demonstration Content

The Product includes placeholder images, sample copy, sample data, icons, logos, and names used purely to demonstrate layout. This material is illustrative only. It may reference or resemble third-party brands, and no rights to any third-party trademark, logo, photograph, typeface, or other protected work are granted by this Agreement. Licensee is responsible for replacing placeholder and demonstration content with material they are entitled to use before publishing any Output.

5.3 Third-Party Services

Purchases, license issuance, authentication, hosting, and delivery rely on third-party services, including Polar.sh, Supabase, and Vercel. Licensor is not responsible for the availability, performance, or acts of those services, and their own terms apply to Licensee's use of them.

6. Refunds and Right of Withdrawal

6.1 Immediate Access and Consent

The Product is digital content that is supplied immediately on purchase. By completing a purchase, Licensee expressly requests that supply of the Product begins immediately, and acknowledges that they thereby lose any statutory right of withdrawal or cooling-off period that would otherwise apply to digital content once supply has begun.

6.2 Refund Policy

Subject to Section 6.3, all sales are final and no refunds, returns, or exchanges are offered.

For annual subscriptions, cancelling stops future billing. It does not shorten the paid period already in progress and does not create a right to a pro-rated refund.

6.3 Mandatory Consumer Rights

Nothing in this Agreement excludes or limits any right that cannot be excluded or limited under the consumer protection law applicable to Licensee, including any right to a remedy where digital content is faulty, not as described, or not fit for purpose. If Licensee believes a mandatory right applies to their purchase, they may contact Licensor at pro@reactbits.dev.

7. Updates and Support

7.1 Updates

Lifetime license holders receive access to all updates, improvements, and bug fixes for React Bits Pro, including all future versions, for as long as the Product exists. Annual subscribers receive access to updates for the duration of their active subscription. In either case, all updates are governed by this Agreement. Licensor may release updates at its discretion with no guaranteed schedule.

Licensor may add to, change, deprecate, or remove any part of the Product, including individual components, blocks, App UI blocks, templates, Agent Kit items, or the Landing Builder. No particular item is guaranteed to remain available. Licensee's right to keep using anything already downloaded is not affected by its later removal.

7.2 Support and "Priority Email Support"

Support may be provided by email at pro@reactbits.dev on an "as available" basis.

Any references on pro.reactbits.dev, in pricing pages, or in plan descriptions (including wording such as "Priority Email Support" or similar phrases) describe Licensor's general intention to prioritize some customers, but they:

  • Do not create a guaranteed response time, resolution time, or service level agreement.
  • Do not obligate Licensor to respond to every inquiry or to resolve any particular issue.

Nothing in any marketing, sales copy, or plan description modifies or overrides the limitations and disclaimers in this Agreement.

8. Disclaimer of Warranties

The Product is provided "as is" and "as available". Licensor makes no warranties of any kind, express or implied, including without limitation any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Licensor does not guarantee that the Product will meet your specific requirements, operate without interruption, be error-free, or be compatible with any particular technology stack, browser, or third-party service.

The Agent Kit consists of instructions and guidance for AI agents. AI agents are non-deterministic. Licensor does not warrant that any agent will follow the Agent Kit correctly, or that code produced by an agent will be correct, secure, accessible, performant, or fit for any purpose. The same applies to projects exported from the Landing Builder. Licensee is responsible for reviewing, testing, and securing all Output before using it in production.

Licensee is solely responsible for the legal compliance of any Output they publish, including accessibility, data protection, and advertising requirements.

9. Limitation of Liability

To the maximum extent permitted by law, Licensor will not be liable for any indirect, incidental, special, consequential, or exemplary damages arising out of or related to the use or inability to use the Product, even if Licensor has been advised of the possibility of such damages. This includes, without limitation, loss of revenue, loss of profits, loss of data, or business interruption.

Licensor's total aggregate liability for any claim related to the Product or this Agreement will not exceed the total amount actually paid by Licensee for the Product.

Nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.

10. Indemnification

Licensee agrees to indemnify and hold Licensor harmless from any claim, demand, loss, liability, or expense, including reasonable legal fees, arising out of Licensee's breach of this Agreement, Licensee's misuse of the Product, or any Output Licensee publishes or delivers to a client. This does not apply to the extent a claim arises from Licensor's own breach of this Agreement.

11. Term and Termination

This Agreement becomes effective when Licensee first purchases, downloads, or uses the Product and continues until terminated.

For annual subscribers, registry access and the right to download new content remains active until the end of the paid subscription period, regardless of when Licensee cancels auto-renewal. Cancelling stops future billing but does not shorten the current paid period. After the subscription period expires, registry access ends. Code already downloaded and incorporated into Licensee's projects prior to expiry may continue to be used under the terms of this Agreement. Licensor is not obligated to provide a pro-rated refund upon cancellation.

Licensor may terminate this Agreement immediately if Licensee breaches any of its terms. Upon termination for breach:

  • All rights granted to Licensee under this Agreement will cease.
  • Licensee must stop using the Product and delete all copies of the Product in their possession or control.

Output that Licensee has already built and delivered remains theirs and is unaffected by termination.

Sections 2.3, 2.4, 2.5, 4, 5, 8, 9, 10, 13, and 17 survive termination of this Agreement.

12. Design Inspiration and Takedown Requests

12.1 Use of Inspiration

React Bits Pro may be inspired by publicly visible designs, interaction patterns, and interfaces, including those found on websites, design galleries, and open source projects. However:

  • The Product does not include original third-party proprietary source code on a copy-paste basis.
  • The Product is implemented by Licensor using original code that may be influenced by design ideas or patterns seen elsewhere, but never by directly copying the original source code of those works.

12.2 Requests for Credit or Removal

If you believe that a component, layout, or pattern in the Product refers too closely to your protected work, or you would like to request attribution or removal, you may contact Licensor at pro@reactbits.dev with:

  • A description of the relevant part of the Product.
  • Evidence of your original work and its date.
  • The specific action you are requesting, such as credit or removal.

Licensor will review such requests in good faith and may, at its discretion, update credits, adjust or remove materials, or take other steps considered appropriate. Handling such requests does not constitute an admission of liability and does not create a duty to agree to or implement every request.

13. Governing Law and Jurisdiction

This Agreement is governed by and interpreted in accordance with the laws of Romania, without regard to its conflict of law rules.

Any dispute arising out of or in connection with this Agreement shall be submitted to the competent courts of Romania.

If Licensee is a consumer resident in the European Union, this choice of law and jurisdiction does not deprive them of the protection of the mandatory consumer law of their country of residence, or of any right to bring proceedings in the courts of that country.

14. Data Collection and Privacy

When you purchase the Product, Licensor collects and stores your email address, license key, and purchase information through Polar and Supabase for license verification, product updates, and customer support. Licensor also records registry activity as described in Section 2.7. Licensor will not sell, rent, or share your personal information with third parties for marketing purposes.

Full details of what is collected, why, how long it is kept, and the rights you have over it are set out in the Privacy Policy, which forms part of this Agreement.

15. Affiliate Program

React Bits Pro may offer an affiliate program. Purchases made through affiliate links are subject to the same terms and conditions as direct purchases. Affiliate commissions do not affect the price, license terms, or rights granted to Licensee.

16. Changes to this Agreement and Notices

Licensor may update or modify this Agreement from time to time. The current version is available through pro.reactbits.dev, and the Effective Date at the foot of this page indicates when it last changed.

Changes apply from the date they are published. Where a change materially reduces Licensee's rights, Licensor will make reasonable efforts to notify affected Licensees by email in advance. A Licensee who does not accept a material change may stop using the Product; for annual subscribers, they may cancel and the change will not apply to the paid period already in progress.

By purchasing the Product, Licensee agrees that Licensor may send non-marketing, product-related emails (such as changes to this Agreement or important product updates) to the email address associated with the purchase. Contact pro@reactbits.dev with questions about these communications.

17. Miscellaneous

17.1 Severability

If any provision of this Agreement is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

17.2 No Waiver

A failure or delay by Licensor in enforcing any provision of this Agreement is not a waiver of that provision or of any other. A waiver is effective only if given in writing.

17.3 Assignment

Licensee may not assign or transfer this Agreement, or any rights under it, without Licensor's prior written consent, except as provided in Section 2.8. Licensor may assign this Agreement in connection with a merger, acquisition, or sale of the business, provided the assignee assumes these obligations.

17.4 No Partnership

Nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship between Licensor and Licensee.

17.5 Force Majeure

Licensor is not liable for any failure or delay in performance caused by events beyond its reasonable control, including outages or discontinuation of third-party infrastructure and payment providers, network failures, acts of government, or natural events.

17.6 Entire Agreement

This Agreement, together with the Privacy Policy and any bundled license file as described in Section 3, constitutes the entire agreement between Licensor and Licensee regarding the Product and supersedes all prior or contemporaneous understandings, agreements, or communications related to the Product, whether written or oral.

17.7 Language and Headings

This Agreement is written in English, and the English text governs. Section headings are for convenience only and do not affect interpretation.
